PGD Strategy carried out the commercial ‘due diligence’ review relating to a complex transaction involving the acquisition by Argo Capital, a hedge fund offering a multi-strategy investment platform in global emerging markets, of a non-bank financial institution, Verida Credit, a credit and mortgage provider, in Romania which had been financed by the Overseas Private Investment Corporation (OPIC), an Agency of the United States Government. The transaction involved multiple jurisdictions and regulatory frameworks and required investigation and execution under a significant time constraint.
The project entailed the acquisition by the PGD Strategy team of a rapid understanding of the Romanian retail loan and credit market, the target’s operations, including its distribution and underwriting capabilities and strategies, and its financial structure and ‘stress model’, as well as the regulatory and economic environment in which it operated.
